NON-DISCLOSURE AGREEMENT

American AI Agent — IncomeWhisper.com LLC — Confidential

The Parties

This Non‑Disclosure Agreement (“Agreement”) is entered into between IncomeWhisper.com LLC (“Company”) and the individual signing below (“Recipient”). Trust is the foundation of this exchange — and trust, once broken, cannot be unbroken.

1. Confidential Information

“Confidential Information” means any information the Company shares with Recipient in connection with the American AI Agent program — including, without limitation: program structure, pricing, enrollment terms, training materials, member identities, referral systems, compensation arrangements, technology, strategies, methods, and all business processes. Whether spoken, written, shown, implied, demonstrated, or delivered by any means — if it comes from the Company, it is confidential.

2. Recipient’s Obligations

Recipient agrees to hold all Confidential Information in strict, unwavering confidence; not disclose it to any third party for any reason; use it solely to evaluate their own potential membership; and invite others only under one condition: No program details, pricing, structure, or proprietary information may be shared with any person who has not first signed this Agreement. Once both parties have signed, they may discuss program matters privately between themselves — and nowhere else.

3. Invitation Rights

Any Recipient who has signed this Agreement may extend invitations — paid or unpaid, at any stage of membership. But with that privilege comes responsibility: Sharing Confidential Information with any non‑signatory — in any form, on any platform — constitutes a material breach of this Agreement.

4. No Guarantee of Membership

Signing this Agreement does not guarantee acceptance into the program. The Company may approve or decline membership at its sole discretion.

5. Exceptions

Recipient’s obligations do not apply to information that was independently known to Recipient before disclosure; becomes publicly known through no breach by Recipient; or must be disclosed by law or court order, provided Recipient gives the Company prior written notice.

6. Duration

This Agreement remains in effect for fifty (50) years from the date of signing. The obligations herein survive termination of any membership, invitation, or relationship between the parties.

7. Remedies

Recipient acknowledges that a breach of this Agreement would cause harm that is not easily measured, not easily repaired, and not easily forgiven. In such an event, the Company shall be entitled to seek injunctive relief, equitable relief, and civil damages.

“If you break what you vowed to keep, then justice may speak — and damages may be filed against the guilty party for up to $50,000,000, the amount depending on the harm done, the breach committed, and the trust betrayed.”

8. Governing Law

This Agreement shall be governed by the laws of the United States and the State of Oregon. Any dispute shall be resolved in the jurisdiction where IncomeWhisper.com LLC is domiciled — the State of Oregon.

9. Electronic Signature

By typing your full legal name in the signature field and submitting this form, you agree that your electronic signature is legally binding under the Electronic Signatures in Global and National Commerce Act (E‑SIGN Act, 15 U.S.C. § 7001) and applicable state law. Your IP address, device information, and timestamp will be recorded.
